The Mainland of China : Notice on Examination and Approval of
Foreign Invested Enterprises
The Ministry of Commerce issued a notice on examination and approval of foreign invested enterprises, which stipulates that the Law on Chinese-Foreign Equity Joint Ventures, the Law on Chinese-Foreign Contractual Joint Ventures and the Law on Foreign-Capital Enterprises as well as their Implementation Rules should form the basis of the foreign investment system, and shall be abided by all local regulations. The notice lists out the regulations promulgated in relation to China's commitments to the World Trade Organization (Annex 2 of the Notice) and the regulations concerning the merger and acquisition of foreign invested enterprises (Annex 3 of the Notice). In addition, it requires the commercial departments at all levels to examine and approve foreign investment projects, including those from Hong Kong, Macau and Taiwan, in accordance with these laws and regulations, together with the authorities devolved by the State Council.
