Commercial Information Circular No. 520/2008

The Mainland of China : "Guidance Opinions on Restructure on the Spot without
Production Halts of Processing Trade Enterprises with Supplied Materials to
Become Foreign Invested Enterprises"

The General Office of the Shenzhen Municipal People's Government issued on 28 August 2008 the "Guidance Opinions on Restructure on the Spot without Production Halts of Processing Trade Enterprises with Supplied Materials to Become Foreign Invested Enterprises" ("Guidance Opinions"), to support and encourage enterprises engaged in processing trade with supplied material to become foreign invested enterprises. The Guidance Opinions took effect from the date of its issuance.

  1. The major points of the "Guidance Opinions" included:

  1. For enterprises which plan to restructure at the same registered address, it is allowed for the two enterprises before and after restructure and with different name and nature to exist in the same address for six months;

  2. The customs allows the restructured foreign invested enterprises and the original factories engaged in processing trade with supplied materials to proceed with customs clearance for import and export concurrently;

  3. Non-priced equipments under customs supervision can be transferred as equipments with tax reduction and exemption and the customs supervision can be continued, provided that the restructured foreign invested enterprises are eligible;

  4. Bonded materials acquired under the original processing trade arrangement can be transferred to the restructured foreign invested enterprise and customs supervision can be continued;

  5. The categorization of enterprises for the processing trade enterprises with supplied materials assessed by the customs before the restructure can be maintained, if there is only change in the name of enterprise or customs registration number; and

  6. Qualification on environmental protection, certification of the production capacity, etc. obtained by the original factories engaged in processing trade with supplied materials can be processed as renewal by relevant departments within the period of validity, if there is no change in business scope, scale of production, structure of factory, etc.
